Eligibility & Authorization:

- State the user is acting in a professional or academic capacity and is authorized to acquire research reagents.
Research Use Only (The “RUO” Clause):
- This is your most important clause. It must state that products are for in vitro or preclinical laboratory research only and are not intended for human, veterinary, or diagnostic use.
- Include a waiver stating that Eir Aminos is not responsible for any use outside of these research parameters.
Intellectual Property: Protect your branding, catalog design, and documentation.
Limitation of Liability:
- State clearly that Eir Aminos is not liable for incidental, consequential, or special damages arising from the use or misuse of any products.
- Self-Correction: Ensure this section specifically mentions that the company makes no warranties, express or implied, regarding the efficacy or fitness for a particular purpose, as these are technical-grade reagents.
Indemnification:
- The user agrees to indemnify and hold Eir Aminos harmless from any claims, losses, or expenses resulting from their violation of these Terms or their misuse of the products.
Order Fulfillment & Payment:
- Clarify your policy on payment processing, shipping expectations, and the “No Refund” policy for opened or used reagents (as we discussed in the FAQ update).
Governing Law: Specify that all disputes will be settled under the laws of the State of Washington and in the appropriate courts in or near your area (e.g., King County).
